Vendor Carve-Out Assistance for two plants (one in Germany and one in China)
Key Activities:
- Analysis of stand-alone / Carve -Out issues. The following functions were shared with the Group: R&D / Finance & controlling / HR / Legal / Communication / Corporate Industrial (investments, safety, environment) / IT / Other corporate functions such as strategy
- Elaboration of a carve-out plan / costing and issuance of a standalone P&L
- Definition of the Transition Service Agreements key terms
Results Achieved:
- The deal was finally closed and our analysis allowed the acquirer to anticipate carve-out issues and set the appropriate monitoring structure for potential financial and operational separation issues
- The parties strengthened the acquisition contract (SPA) to cover risks related to separation and business continuity and were able to discuss transparent financial terms for the TSA’s, based on factual KPI's and services catalog
